Terms of Service (Exclusive B2B Factory Version)

OVERVIEW

SECTION 1 - ACCESS & BUSINESS IDENTITY

1. All users accessing our website shall be commercial buyers, enterprises, distributors and industrial clients for commercial wholesale and customized production. Individual retail consumption is not the positioning of this website.
2. When submitting inquiries, quotations and orders, you must submit true enterprise information, contact information, shipping address and payment information. You warrant all submitted materials are legal, real, complete and valid.
3. You shall keep your inquiry & order account information confidential, and bear full responsibility for all commercial operations, order submissions and negotiations under your account. Account transfer, resale and leasing are prohibited without our written permission.

SECTION 2 - PRODUCT INTRODUCTION & SPECIFICATION

1. Pictures, renderings and parameter descriptions on the website are only reference samples. Due to display equipment difference, slight color difference, texture difference is normal industrial allowable error, and shall not be regarded as product quality defects.
2. We reserve the right to adjust product structure, raw material formula and conventional specifications without prior notice. We have the right to stop production of old models and adjust supply quantity according to factory production capacity.
3. All formal mass production standards shall be subject to the confirmed pre-production sample, signed Proforma Invoice (PI) and technical specification sheet, rather than website display pictures.

SECTION 3 - ORDER RULES (Core B2B Clause)

1. Order submission is only a purchase intention offer; the official order takes effect only after both parties sign and confirm PI, and the buyer pays the agreed deposit. We reserve the right to reject unreasonable orders at our discretion.
2. Order Cancellation Regulation:
   • Before raw material procurement and formal production arrangement: order cancellation can be negotiated;
   • After material preparation, mold opening and mass production start: order cannot be cancelled unilaterally by the buyer, and the paid deposit will not be refunded;
   • Custom mold opening orders: all mold costs are non-refundable under any non-quality reasons.
3. All return, exchange, compensation and claim matters are only executed in strict accordance with our independent Refund & Return Policy; consumer-style unconditional return is not applicable to all B2B bulk orders and customized orders.
4. All purchased goods are allowed for commercial resale, distribution, secondary packaging and commercial export, consistent with your enterprise business purpose.

SECTION 4 - PRICE, QUOTATION & PAYMENT

1. Public display prices on the website are only preliminary reference quotations. Final formal transaction price is subject to the written quotation and PI confirmed by both parties. Prices are adjustable according to order quantity, material standard, customization requirement and raw material market fluctuation without advance notice.
2. Unless otherwise written agreed, quotations do not include international freight, local import tariff, customs clearance fee, local logistics and tax of destination country.
3. The buyer must complete payment on schedule according to the payment term agreed in PI (deposit, balance before shipment, etc.). The buyer warrants all payment funds are legal and the payment channel is authorized. Delayed payment will lead to production delay and delivery postponement, and we reserve the right to suspend production.

SECTION 5 - SHIPPING, DELIVERY & RISK TRANSFER

1. All delivery dates are estimated production & logistics cycle, not absolute guaranteed deadline. We are not liable for delays caused by carrier congestion, customs inspection, force majeure and other uncontrollable factors.
2. Once goods are delivered to the designated logistics carrier, the ownership, damage risk and loss risk of goods are fully transferred to the buyer.
3. The buyer shall complete goods inspection within 7 working days after receiving goods; overdue quality complaints will not be accepted, which is clearly stipulated in our return policy.

SECTION 6 - INTELLECTUAL PROPERTY RIGHTS

1. All trademarks, logos, texts, product images, design drafts, mold structures and original design works on our website belong to 16MA. They are protected by international copyright, trademark and patent laws.
2. Permitted authorized use: After customized cooperation, the buyer can use the customized exclusive pattern & logo on ordered products for commercial sales.
3. Prohibited behaviors without our written authorization: copy our original product structure, steal design drawings, reproduce our official brand logo, replicate our products for counterfeit production.
4. The buyer shall not register our exclusive designs, trademarks as their own intellectual property. Unauthorized infringement will bear corresponding legal compensation liabilities.

1. If you provide us with design drafts, improvement suggestions, personalized patterns and customized schemes, you guarantee that all submitted content does not infringe third-party intellectual property rights.
2. You grant us the right to optimize and adjust the submitted schemes for production realization. We will keep exclusive confidentiality for your exclusive customized patterns and designs, and will not apply them to other clients without permission.
3. We have no obligation to pay fees for conventional suggestions, and have the right to filter inappropriate illegal, offensive and infringing submission content.

SECTION 12 - INFORMATION ERROR CORRECTION

1. Illegal transactions, violation of international trade laws, import and export regulations;
2. Infringe intellectual property of our factory and other third-party enterprises;
3. Malicious harassment, fraud, false order placing, deliberately delaying payment;
4. Use crawlers, violent scraping, automatic robot programs to grab massive business data of the website;
5. Embed virus, malicious code to attack our website server;
6. Circumvent CAPTCHA and security rules for malicious access.
   
   
   Once prohibited behaviors are confirmed, we have the right to block your account, reject all future cooperation and reserve the right to claim losses.

SECTION 14 - AGENT & AUTOMATED ACCESS

SECTION 15 - TERMINATION OF COOPERATION

1. We can terminate negotiation and future cooperation with you unilaterally if you seriously violate these terms, default on payment or deliberately break the contract.
2. After cooperation termination, all mature orders in execution shall be completed as agreed. Clauses about intellectual property, liability, compensation, dispute settlement still take effect permanently after termination.
